Terms of Service

These terms are the agreement between you and [registered company name]("Nadi", "we", "us") covering your use of Nadi and everything on it. By creating an account or joining a community you accept them. If you are accepting on behalf of a company, you confirm you are allowed to bind it.
1. What Nadi is
Nadi is a platform for running paid and free communities — which we call communities. Each community has an owner. The owner decides what the community teaches, who may join, what it costs, and how it is moderated.
We provide the software. We are not a party to the relationship between a community and its members, we do not vet or endorse communities, and we do not guarantee that any community will deliver what it promises. Where a community charges, the owner is the seller and we are their payment facilitator, not the merchant.
2. Your account
- You must be at least 16 years old to hold an account.
- Give accurate details and keep them current. One account per person; do not share credentials or let someone else use yours.
- You are responsible for everything done through your account. Tell us promptly at [support email] if you think it has been compromised.
- You can close your account at any time from account settings. Closing it ends your access to every community you belong to, including ones you have paid for, and does not by itself entitle you to a refund.
3. Acceptable use
You agree not to use Nadi to:
- break the law, or help anyone else do so, including infringing someone's copyright, trademark, or privacy;
- harass, threaten, impersonate, or incite violence or hatred against anyone;
- post sexual content involving minors, or any content that sexualises a real person without their consent;
- send spam or unsolicited promotion, whether in a feed, a comment, or a direct message;
- upload malware, probe or interfere with our infrastructure, or circumvent access controls, rate limits, or payment;
- scrape or bulk-collect data about other members, or use anything you find here to train a machine-learning model without permission;
- resell or sublicense access to a community you did not create, or share paid material outside it.
Owners and moderators enforce their own community's rules. We enforce these ones across the whole platform, and our decision is the final one on our own service.
4. Your content
You keep ownership of everything you post — posts, comments, courses, lessons, uploads, messages. Nothing here transfers your copyright.
You do grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display, and distribute your content, strictly so that we can operate the service: showing your post to the community you posted it in, generating thumbnails, backing it up, and so on. The licence lasts as long as the content is on the platform, plus a short period for backups to expire. We do not use your content to advertise, and we do not sell it.
You confirm you have the rights to everything you post, and that posting it does not break anyone else's.
5. If you run a community
Owning a community adds obligations. As an owner you agree that:
- you will deliver what you advertise, and describe pricing, access, and any drip schedule accurately before someone pays;
- you are the seller of record for your members. Your refund policy, your customer support, your disputes;
- you are responsible for your own taxes, including any sales tax or VAT on what you charge, and for any professional licensing your subject requires;
- you will handle your members' personal data lawfully. For data inside your community you are the controller and we are your processor — see the Privacy Policy;
- you will not use member contact details for anything beyond running your community;
- you remain responsible for what your moderators do, and for content your members post, once you know about it.
6. Payments and fees
Running a community costs a monthly or yearly plan fee, plus a percentage of what you charge your members. Current figures are on the pricing page and form part of these terms. New communities get 14 days free; cancel before the trial ends and you are not charged.
- Card payments are processed by Stripe under their own terms. We never see or store full card numbers.
- Stripe's processing fee is separate from ours and comes out of the same payment. Your community's billing page shows the split.
- Payouts go to the bank account connected to your Stripe account, on Stripe's schedule. We may hold a payout where we reasonably suspect fraud or a wave of chargebacks.
- Chargebacks, refunds, and their fees are yours. We may recover them from future payouts.
- Plan fees are billed in advance and are not refundable for part of a period. Cancelling stops the next renewal; your community stays open until the period ends.
- We can change our fees on 30days' notice. Continuing to run your community after that is acceptance.
7. Suspension and termination
We may suspend or remove an account, a community, or a piece of content if it breaks these terms, exposes us or our users to legal risk, or is being used to defraud people. Where it is reasonable to do so we will tell you why first and give you a chance to fix it; where the harm is serious or ongoing we may act immediately.
If we close a community with paying members, we will make a reasonable effort to see that members are refunded for time they paid for and did not receive, and may deduct that from the owner's balance.
You may stop using Nadi at any time. Sections that by their nature should survive — content licence for existing backups, fees already owed, disclaimers, liability, governing law — survive termination.
8. Availability
We work to keep Nadi up but do not promise it will be uninterrupted or error-free. We may change, suspend, or discontinue features. If we discontinue something you are actively paying for, we will give you 30days' notice and a pro-rata refund of the unused part.
9. Disclaimers
Nadiis provided "as is". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Nothing on this platform is professional advice — not financial, legal, medical, or otherwise — and no community's claims about results are endorsed by us. We make no promise that you will earn anything from running a community or learn anything from joining one.
10. Liability
To the extent the law allows, we are not liable for indirect, incidental, special, or consequential loss, or for lost profits, revenue, data, or goodwill, however caused.
Our total liability to you for any claim is capped at whichever is greater: the fees you paid us in the twelve months before the claim, or one hundred units of the currency you were billed in.
Nothing here limits liability that cannot lawfully be limited — including death or personal injury caused by negligence, and fraud. Some jurisdictions do not allow some of these exclusions, in which case they simply do not apply to you.
11. Indemnity
If someone brings a claim against us because of what you posted, what you sold, or how you used the platform, you agree to cover our reasonable costs in dealing with it, provided we tell you about it promptly and let you take part in the defence.
12. Changes to these terms
We will post any material change here and tell account holders at least 30 days before it takes effect. If you do not accept the change, close your account before that date; continuing to use Nadi afterwards means you accept it.
13. Law and disputes
These terms are governed by the law of [jurisdiction], and the courts of [jurisdiction] have exclusive jurisdiction — except that if you are a consumer, you keep the protection of the mandatory law of the country you live in and may bring proceedings there.
